Introduction

In July 2023, the International Financial Reporting Standards (IFRS) Foundation, through its International Sustainability Standards Board (ISSB), introduced new sustainability and climate-related financial disclosure standards. These standards aim to establish a consistent global baseline for corporate reporting on environmental and social externalities throughout the value chain.

The global reporting landscape has fundamentally changed, placing significant responsibilities on larger organizations to demonstrate their commitment to sustainability. While reporting obligations vary by country, the ISSB standards underpin many regional reporting frameworks and are being adopted over varying timeframes. Ultimately, these rules will affect all trading organizations globally.

Who Is This Course For?

It is ideal for participants seeking to understand and integrate these regulations into their operational processes, enhancing decision-making and transparency in financial markets.

Australia’s proposed adoption of ISSB Standards

Australia is currently in the process of developing the Australian Sustainability Reporting Standards (“ASRS”) which are based on IFRS S1 General Requirements for Disclosure of Sustainability-related Financial Information, to be called ASRS 1 General Requirements for Disclosure of Climate-related Financial Information and ISSB S2 Climate-related Disclosures to be called ASRS 2 Climate-related Financial Disclosures.

It is anticipated that the ARS Standards will be released in the second d half of 2024.

The table shows the proposed (but yet to be confirmed) introduction timetable for Chapter 2M companies in Australia:

Group 1 (2024-25 onwards)Entities required to report under Chapter 2M of the Corporations Act and that fulfill two of the three thresholds:

- Has over 500 employees;
- The Value of consolidated gross assets at the end of the financial year of the company and any entities it controls is $1 billion or more;
- The consolidated revenue for the financial year of the company and any entities it controls is $500 million or more.

AND
Entities required to report under Chapter 2M of the Corporations Act that are a 'controlling corporation' under the NGER Act and meet the NGER publication threshold.
Group 2 (2026-27 onwards)Entities required to report under Chapter 2M of the Corporations Act and that fulfill two of the three thresholds:

- Has over 250 employees;
- The value of consolidated gross assets at the end of the financial year of the company and any entities it controls is $500 million or more;
- The consolidated revenue for the financial year of the company and any entities it controls is $200 million or more.

AND
Entities required to report under Chapter 2M of the Corporations Act that are a 'controlling corporation' under the NGER Act and meet the NGER publication threshold.
Group 3 (2027-28 onwards)
Entities required to report under Chapter 2M of the Corporations Act and that fulfill two of the three thresholds:

- has over 100 employees;
- The value of consolidated gross assets at the end of the financial year of the company and any entities it controls is $25 million or more.
- The consolidated revenue for the financial year of the company and any entities it controls is $50 million or more.

AND
Entities required to report under Chapter 2M of the Corporations Act that are a 'controlling corporation' under the NGER ACT.
